ACCEPTANCE OF TERMS OF SERVICE - TOS
A very warm welcome from Finance Media Europe (FME) to the Finance Media Linx Exchange otherwise known as FMLX. FMLX provides a range of free and registration services that are subject to your agreement to all of the following "Terms of Service" or "TOS" as it shall now be referred to. This TOS has been written as much for your benefit as ours to ensure that you as a user understand the basis on which the FMLX and the associated FMLX Services are provided to you by FME. If however should you now or at any time be unable to agree with this TOS, then unfortunately FME can not give you our authorisation to use and or access the FMLX site and any of the FMLX Services and therefore you should not use or register for membership to any of the FMLX Services. FME reserves the right to modify and or update from time to time this TOS without any further notification and it shall remain your responsibility to periodically review this TOS. Any continued use of the FMLX site and FMLX Services by you shall mean your acceptance in full of this TOS.

Description of FMLX and the FMLX Services

FMLX and the FMLX Services are a free resource from FME for you to use as an aid to business, investing and finance, under the terms of this TOS. In creating FMLX and the FMLX Services FME has sought to design a comprehensive Internet resource to help companies more effectively promote their information, services and products and for you to locate these as well as pinpoint specific financial, business and stock information in a smart, fast and easy to use manner. To achieve this FME aggregates, databases and then presents information from a range of authoritative companies and or third party sources and content suppliers into FME's own unique services. These services access information in the FMLX database using simple key word or symbol searching which is further enhanced by intelligent classification, indexing, and composite market standard stock Indicies. The FME services include but are not limited to, FMLX, myFMLX, The Great Game (TGG) The Business and Finance Directory, FMLX Company Profiles and FMLX Membership Services. The FME services also include FME generated information and data combined with other company and or third-party content, data, information and services. It is understood and agreed by you that all of these FME services are collectively known and referred to as "FMLX Services". The FMLX services and The Great Game contain portfolio tracking facilities and free share prices, quotes and other market data and research available from third party information and content providers and is information that is provided "as is." Neither FME nor any of its information and content providers can be held responsible for any interruptions or delays in the delivery of the information, in the accuracy of the data and or information supplied or any actions taken as a result of viewing said data and or information by you. FME makes no express or implied warranties regarding the FMLX Services or The Great Game and these services and any information that is presented within the FMLX Services and or The Great Game is not intended for trading purposes and you are advised to consult with your broker or other financial advisor/representative to verify pricing any information prior to the execution of any security trade. Should FME augment, add to, further develop or enhance the available FMLX Services or add new additional FMLX Services, or other company and or third party content, data, information and services unless explicitly stated otherwise, all of these FMLX Services shall also remain subject to the same terms as laid out in this TOS.

Your FMLX Service Registration Obligations

In consideration for your use of FMLX Services and your registration to any FMLX Membership Services you agree to the following; You certify that you are at least thirteen (13) years old. The information that you supply on any FMLX Member Service registration forms is true, accurate and complete. That you are registering to the FMLX Services for your own personal use. That you agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of FMLX and or the FMLX Services, the use of the FMLX and or the FMLX Service, or access to FMLX and or the FMLX Services. You also understand and are in agreement that FME at its sole discretion reserves the right to terminate your access or membership to any FMLX Membership Services howsoever occasioned and without notice for lack of use Service abuse FME believes that you have violated any aspects of this TOS Any Registration information that you have provided is found to be untrue or inaccurate Should you be suspected of fraudulent, abusive or illegal activity with regard to FMLX and the FMLX Services..

Service Termination

FME may also in its sole discretion and at any time discontinue providing FMLX and or the FMLX Services, or any part thereof, with or without notice. You agree that any termination of your access to FMLX and or the FMLX Services under any provision of this TOS may be effected without prior notice, and acknowledge and agree that FME shall not be liable to you or any third-party for any termination of your access to FMLX and or the FMLX Services

FME Privacy Policy

Any information submited by you for any FMLX Membership Services and certain other information about you is subject to our Privacy Policy.

FMLX Member Services User Id and Password Security

When you have completed the necessary registration forms for membership to any FMLX Membership Services you will be assigned a unique Member Services Id and Password for that particular FMLX service. This Member Id and Password is enabled for your own personal use and it remains your responsibility to maintain the confidentiality and security of the Member Id and Password and it's use and activity. In the event that there is any unauthorised use of your Member Id and Password you agree to notify FME immediately and cease using them to access any FMLX Member Services. FME shall not be liable for any loss whatsoever how so ever occasioned as a consequence of the miss use of any assigned Member Id and Passwords.

Warranties

While FME strives to provide a reliable and beneficial service, it is understand and agreed by you that all FMLX Services are provided to you on an "is" and "as available " basis and that FME assumes no responsibility for the timeliness, deletion, mis-delivery or failure of FMLX or any FMLX Services and or our ability to retain any personal FMLX Membership Services settings. All information data and content presented in FMLX and the FMLX Services and any other data or links to external websites or information provided through-out this site are compiled by FME from a variety of sources suppliers and by third parties and directly by individual companies themselves. While FME does endeavor to fully validate and check the accuracy of any of these sources and suppliers of information that is presented in FMLX and the FMLX Services we remain very much reliant upon the accuracy and trust worthiness of our content suppliers and contributors. Consequently FME is unable to verify that the information that is represented and contained within FMLX and or the FMLX Services are accurate or without errors or omissions. FME does not warrant that any of the information presented within FMLX and the FMLX Services and any other data or information provided through -out the FMLX site or from any presented links to content providers and or companies is absolutely accurate or without any errors. Any users of any of the information or presented links represented by FME within FMLX and the FMLX Services should not rely on any information contained herein when any such reliance might have cause to or effect any loss or damage. FME it's editors and selected content providers specifically disclaim all warranties, including the implied warranties of merchantability and fitness for a specific purpose. All information made available within FMLX and the FMLX Services and any other data or information provided through-out this site or from any presented links to content providers and or companies is made available on the understanding by the user that neither FME nor FME editors are either directly or in directly engaged in providing any form of investment, financial, accounting, legal, or any other professional advice. FME shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or upon the reliance of FMLX and the FMLX Services or on any content, goods or services available or promoted on FMLX and the FMLX Services and or presented to external website links or resources

Purchasing Third Party Services

With regard to you purchasing, ordering or aquiring any goods, services, data and or any merchadise through FMLX and the FMLX Services from other companies, organisations, and or persons, (hereinafter referred to as "Sellers") not affiliated with FME, FME makes no warranties or representations whatsoever with regard to any goods, services, data and or any merchadise goods or services provided by any Sellers. You also agree that any such transaction with the Sellers is soley between you and the Sellers and that all matters concerning these orders, including but not limited to purchase terms, payment terms, warranties, guarantees, maintenance and delivery, are solely between you and the Sellers. It is further agreed that regardless if FME has derived any form of revenue or other remuneration in connection with the transaction however occasioned, FME will not be liable for any costs or any damages arising out of such transaction, either directly or indirectly with you or with any other person involved or related to the transaction.

Indemnity

You agree to indemnify defend and hold harmless FME and its subsidiaries, affiliates, directors, officers, agents, consultants co-branders, content suppliers and or any other FME partners, and employees, harmless from any claim or demand, including but not limited to reasonable attorneys' fees, made by any third party due to or arising out of your use of FMLX and or the FMLX Services, your connection to FMLX and or the FMLX Services, your violation of this TOS or your infringement, or infringement by any other user or your violation of any rights of another.

Liability

YOU FULLY UNDERSTAND AND AGREE THAT FME WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COMPENSATORY, EXEMPLARY, RELIANCE OR PUNITIVE DAMAGES, REGARDLESS OF THE FORM OF ACTION OR THE BASIS OF THE CLAIM, RESULTING FROM THE USE OF OR ACCESS TO FMLX AND OR FMLX SERVICES, THE USE OF OR THE INABILITY TO USE FMLX AND OR FMLX SERVICES, RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH FMLX AND OR THE FMLX SERVICES, RESULTING FROM LOSS OF, UNAUTHORIZED ACCESS TO OR ALTERATION OF A USER'S TRANSMISSIONS OR DATA OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, USE, BUSINESS, PROFITS, DATA OR OTHER INTANGIBLES, EVEN IF FME HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Copyrights and Copyright Agents

You may not copy, distribute, re-publish, reproduce, re-transmit, or in any way find a means to commercially exploit the content that is included in FMLX and the FMLX Services by FME and or provided by any content providers under separate agreement, with FME including but not limited to each parties respective cons, logos, images, buttons, graphics, market information, data, designs, layout, text, computer programs, and the collection, assembly and presentation of the same, remains the property of FME and by arrangement the respective content suppliers and is protected by the copyright laws of England and where it is deemed appropriate with International copyright laws.

Trademarks

Finance Media Europe, Finance Media, FME, FMLX, myfmlx, FMLX Business and Finance Directory, The Great Game, TGG, FMLX World Indices are trademarks and service marks of Finance Media Europe Limited and without written permission from FME no license is granted with respect to use whatsoever for any of these trademarks in any manner or for any purpose. FMLX and the FMLX Services are providing access to information and content that is also protected by copyrights.

General.

This TOS agreement is the complete and exclusive statement of the agreement between the parties with respect to its subject matter hereof and supersedes and replace all prior understandings oral or written communications or representations. No changes, modifications or waivers regarding this TOS agreement shall be binding unless in writing and signed by FME .This TOS Agreement shall be governed by and construed in accordance with the laws of the United Kingdom without giving effect to its conflict of laws provisions or your actual country of residence If you have any questions regarding these Terms of Service please contact support@fmlx.com
